LEGACY PUBLISHING AFFILIATE PROGRAM GUIDELINES

Please read through each guideline carefully. Violations of any guideline may be cause for an Affiliate's immediate termination and any unpaid commissions will be unearned, disallowed and/or charged back.

REGISTRATION

To sign up as an Affiliate of Legacy Publishing and to use the Service as an Affiliate Partner you must be at least 18 (eighteen) years of age, and supply a valid tax-id, which may be your social security number for individuals, or a federal tax-id for corporations or entities.

THE FOLLOWING TYPES OF SITES ARE NOT ALLOWED TO PARTICIPATE IN Legacy Publishing’s Affiliate program: ADULT SITES, SITES THAT DISPLAY ADULT BANNERS, SITES THAT PROMOTE VIOLENCE, BIGOTRY, OR HATRED. SITES THAT PROMOTE ILLEGAL ACTIVITY, including but not limited to WAREZ, CRACKING, and HACKING SITES. As part of the registration process, You will select a username and password combination that You use to access Your Affiliate area within the Service. You shall provide Legacy Publishing Company with accurate, complete and updated registration information. You may not select the name of another person with the intent to impersonate that person or deceive members or other users as to Your true identity. You agree that Legacy Publishing may rely on any data, notice, instruction or request furnished by You which is reasonably believed by Legacy Publishing to be genuine and to have been sent or presented by a person reasonably believed to be authorized to act on Your behalf. You shall notify Legacy Publishing by email at bizdev@legacypublishingcompany.com of any known or suspected unauthorized uses of Your Account, or any known or suspected breach of security, including loss, theft or unauthorized disclosure of Your username and password. You shall be responsible for maintaining the confidentiality of Your username and password and You are responsible for all usage and activity on Your Account, including use of the account by a third party authorized by You to use Your Account. Any fraudulent, abusive or otherwise illegal activity may be grounds for termination by Legacy Publishing Company and referral to the appropriate law enforcement agencies.

No employee of Legacy Publishing Company, or any member of their immediate family, may participate in this program.

MARKETING & PROMOTION GUIDELINES

Creative
Legacy Publishing Company’s creative library contains a variety of promotional materials for use by Affiliates. Affiliates may not create their own promotional materials or change (resize, color, stretch, flatten, etc.) any of the creative in creative library. If you choose to supplement our creative with additional text, it must be clearly stated and apparent to the customer that the additional copy represents the opinion or experience of the Affiliate and is not a claim made by The Total Transformation® / Total Focus / The Us Factor™ / Legacy Publishing Company. Negative or controversial ad copy is prohibited. Under no circumstance can any affiliate say “do not buy this program”. All creative is the copyright of Legacy Publishing Company under protection of the Copyright Act of 1976.

If any affiliate feels they do want to have their own creative, that creative must be reviewed and accepted by our affiliate manager, who can be contacted through the affiliate admin at any time. If unapproved creative is discovered, the affiliate may be removed from our program and commissions ceased.

Non Brand, Non Trademarked KeyTerms
Affiliates are free to bid on all other keyterms, provided that: 1) none of the above listed Total Transformation / Legacy Publishing Company / James Lehman / The Us Factor / Joseph Melnick / Total Focus trademarked and brand names (or any variation thereof) are used in ad copy. 2) affiliate ads do not appear on trademarked/brand term search result pages. 3) Affiliates are prohibited from buying CPC advertising on Google, Yahoo and MSN that direct traffic diretly to TheTotalTransformation.com using their affiliate URL. Affiliates are required to direct traffic to their own domain name.

EBay
Under no circumstances may any affiliate list and/or advertise any of Legacy Publishing Company’s products (The Total Transformation, Total Focus or The Complete Guide to Consequences) on EBay, including EBay Classified Ads, without prior written permission.
No affiliate is to use any Total Transformation, Total Focus, or Complete Guide To Consequences trademarked or brand keyterms to promote or sell any other products on Ebay.

URLs, Domain Names and other Identifiers
Affiliates may not use uniform resource locators (URLs), domain names or other identifiers of the Affiliate's website or web pages that contain any Total Transformation Program, The Us Factor, Total Focus or Legacy Publishing Company trademark or any variation or derivative thereof. Affiliates may not purchase or otherwise contract with third parties to exploit any Total Transformation Program, The Us Factor or Total Focus trademark or derivative thereof for the purpose of causing the Affiliate website to appear as a search result or for any other reason.

Independence from Legacy Publishing Company’s Products
In all advertising and promotion, Affiliates must clearly represent themselves and any website of an Affiliate as entities independent from Legacy Publishing, The Total Transformation® Program and The Total Transformation® Program web site, and Total Focus and the Total Focus website, and The Us Factor and The Us Factor website. Affiliates may not include any text above, beneath, or around advertisements that could cause consumer confusion as to the source of the ad or appear to the consumer to be a Total Transformation Program / Total Focus / The Us Factor / Legacy Publishing ad.
Affiliates websites may not in any way copy or resemble the "look and feel" of The Total Transformation.com or The Us Factor.com website or The Total Transformation® Program, The Us Factor™ Program nor shall any Affiliate create the impression that the Affiliate website is The Total Transformation® website, The Us Factor™ website or is a part of the TheTotalTransformation.com, Theusfactor.com web site. Affiliate websites shall not include any content of TheTotalTransformation.com website or other proprietary materials of TheTotalTransformation.com, Theusfactor.com unless provided to the Affiliate by Legacy Publishing Company.

Email
Any Affiliate found to be sending Unsolicited Email with the intent of offering The Total Transformation® Program, The Us Factor™ or Total Focus will be immediately terminated from the Affiliate Program. Affiliate agrees and warrants that it will comply with all local, state and federal laws (including, but not limited to, the “CAN-SPAM” Act, effective January 1, 2004, as may be amended from time to time) regarding the sending of emails.

Press Releases and other Communications
a) Any communication must accurately identify that Affiliates are participating in Legacy Publishing Company’s Affiliate Program. The communication must not create confusion or misrepresent the nature of the Affiliate’s participation in Affiliate Program.

Black Hat Practices
If Legacy Publishing Company suspects any dishonest promotion, in any way, we will immediately remove that affiliate from our program. Black hat techniques include, but are not limited to links placed in unsolicited e-mail, ICQ, iFrames, Cookie Stuffing, counters or chatrooms. Any link placed must be done in such a way that it is not misleading to any visitor and requires the visitor to take action and done with the intention of delivering valid sales, leads or clicks to Legacy Publishing Company’s websites.

COMMISSION POLICIES

Qualifying Revenues/Products: The following product(s) qualify for commissions under this agreement:
- Total Transformation Program®
- Total Focus
- The Us Factor™

The following do not qualify for commissions:
- Parental Support Line services
- Shipping/handling charges
- Sales tax
- Returned/canceled orders
- Fraudulently placed orders

Commissions are payable on the initial submission purchases made through Affiliates’ properly configured banners/links.
Transactions/commissions will be marked as pending for a period of 70 days after the order date. During that time, if a customer cancels an order, returns the product, requests a refund or stops payment under any circumstances, the transaction will be voided and commission will not be paid. After the 70 day pending sales period, valid commissions will be paid on the next payout period (10th of the following month)

Link Configuration
Affiliates agree and understand that they are solely and exclusively responsible for the proper configuration of the text or banner link to TheTotalTransformation.com and TotalFocus.com web site. If for any reason it is not configured properly, Affiliates will NOT receive referral commissions as it will be impossible for us to track any referrals made thru your links or banners.
Customers must be referred to us through a properly configured banner or link. Customers referred to us by any other method including word of mouth, phone, or by an improperly configured link on your part or are not eligible referrals, and will not count as commissionable transactions.

Cookies
To track parties referred by a properly configured banner, we attempt to issue cookies to their system. If the visitor was referred by a properly configured banner at an Affiliate web site or that of an Affiliate’s down-line members and the visitor accepts cookies then the issued cookie will contain the Affiliate Number and have a life span of 45 days. If the visitor does not accept cookies then it is impossible for us to associate an Affiliate account number with that visitor. Therefore no commissions will be due and payable on that sale.

Multiple Affiliate Referrals
If a party which was referred to us by an Affiliate banner/link eventually makes their purchase through another Affiliate’s banner or link, the Affiliate whose banner was last used to access our system when the eventual purchase was made is the only Affiliate who will receive credit for the sale.

Web Site Service Interruption and Tracking Failures
We will make every effort to keep our web site(s) operational and to track customers whose browsers are set to accept cookies and that follow properly configured links or banners an Affiliate’s web site and those of an Affiliate’s down-line members. However, certain technical difficulties may, from time to time, result in temporary service and tracking interruptions. Affiliates agree to hold us harmless and not liable for any consequences financial or otherwise due to such interruptions and we agree to make our best efforts to limit said interruptions or tracking failures.

Restrictions On Personal Use:
This program is intended to generate sales from 3rd parties. We will not pay commissions for sales made where our products are being purchased for use on a web site owned wholly or in part by Affiliates or by an entity in which Affiliates have a vested interest. Affiliates who use this program to purchase services for their own use are in violation of this agreement and are then subject to losing all their present and future rights to any earnings from either their own web site's sales or that of their down-line members.

Our Purchase Policies Apply To All Orders:
Every customer who buys one of our products through our Affiliate Program is deemed to be a Legacy Publishing Company customer with regard to the product purchased from us. Affiliates do not have the authority to make or accept any offer on our behalf except where expressly agreed to in writing, provided and signed by a duly authorized officer of Legacy Publishing Company. All of our policies regarding customer orders will apply to these customers. We are not responsible for any representations made by you which contradict or conflict with our policies.

Pricing:
The price charged for every product sold under the Affiliate Program will be determined by us according to our own pricing policies. Affiliates may not specify prices in descriptions except where duly authorized by us to do so. Said authorization is to be in written form and signed by an authorized officer of Legacy Publishing Company.

GENERAL TERMS/CONDITIONS

This Agreement May Be Modified:
We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the program following our posting of a change notice or new agreement will constitute binding acceptance of the change(s) by you.

Independent Investigation:
You acknowledge that you have read this agreement and agree to all its terms and conditions. You understand that we may at any time ( directly or indirectly ) solicit customer referrals on terms that may differ from those contained in this agreement or operate web sites that are similar to or compete with your web site. You have independently evaluated the desirability of participating in the program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.

Term And Termination Of Agreement:
The term of this Agreement will begin upon your acceptance of the Legacy Publishing Company Affiliate Service Terms and Conditions Agreement and the successful completion of your Legacy Publishing Company Affiliate Application, and our acceptance of same. The Affiliate Program term will end when the Agreement is terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You are only eligible to earn commission on sales occurring during the term, and commissions earned through the date of termination will remain payable only if they satisfy all qualifying conditions. Commissions earned through the date of expiration or cancellation of this Agreement will remain payable only if the qualifying products are not canceled or refunded by the referred customers. Payment of the final commission payment to the Affiliate may be withheld for a reasonable time in order to ensure that we have had an opportunity to collect the correct amount on sales where commissions remain unpaid to you and to be assured that there will be no charge-backs against said sales.

Miscellaneous:
You and we are independent contractors and nothing in this agreement is intended to or will create any form of legal employment, joint venture, agency, franchise, sales representative or employment relationship between the parties. You shall not assign this Agreement, by operation of law or otherwise, without first receiving our written consent by a duly authorized officer of our corporation. Subject to the foregoing restriction, this agreement is binding upon, inures to the benefit of and is enforceable by the parties and their respective successors and assigns.

Confidentiality: Any information provided under this Agreement shall be used solely pursuant to the terms and conditions set forth in this Agreement. You hereby covenant to keep any and all property provided by us confidential and shall not release any information to third parties except as otherwise directed herein or authorized by our written consent.

Governing Law:
This Agreement shall be governed in all respects by the laws, statutes and regulations of the United States of America and of the State of Maine. Venue for any disputes that may result from this Agreement shall be in the courts of the County of Cumberland, Maine, in the United States of America. Affiliates hereby submit themselves to the jurisdiction of the State of Maine and venue in the County of Cumberland and hereby waive any and all rights to protest or change jurisdiction and venue with regard to any and all disputes. Our failure to enforce Affiliates’ strict performance of any provision of this Agreement will not constitute a waiver of our rights to subsequently enforce such provision or any other provision of this Agreement.
